Kataloq Terms of Service & Intermediary Platform Agreement

Effective Date: January 1, 2026

Operating Entity: Vercura Systems ("Vercura Systems", "we", "us", or "our"), trading as Kataloq.

Welcome to Kataloq. By accessing, creating an account, launching a storefront, or purchasing through any subdomain hosted on `kataloq.shop` or custom domain powered by Kataloq, you unconditionally agree to these Terms of Service.

1. Nature of the Platform (SaaS Infrastructure & Digital Store System)

1.1. Software Provider Status: Kataloq is a proprietary software-as-a-service (SaaS) store management and technology infrastructure platform operated by Vercura Systems. We provide independent merchants, makers, ateliers, cordwainers, and skilled artisans ("Merchants" or "Artisans") with software tools to showcase digital product catalogs, coordinate custom bespoke commissions, manage inventory, process orders, and communicate seamlessly with customers ("Buyers").

1.2. Bilateral Sales Contracts: Vercura Systems provides the digital commerce software infrastructure. When a Buyer initiates an order or purchases an item from a Merchant's storefront, the legal contract of sale is formed strictly and solely between the Buyer and the Merchant.

1.3. No Agency or Partnership: No agency, partnership, joint venture, employer-employee, or franchiser-franchisee relationship is intended or created by these Terms between Vercura Systems and any Merchant or Buyer.

2. Pricing, 0% Catalog Commission, and Instant Bank Withdrawals

2.1. 0% Commission on Catalog Orders: Merchants keep 100% of their direct catalog sales earnings. Kataloq does not charge percentage-based listing or inventory commissions on direct catalog orders.

2.2. Instant Withdrawal Upon Order Completion: Payouts for orders processed through Kataloq's checkout system are disbursed with instant withdrawal to your verified bank account upon order completion and verified delivery confirmation.

2.3. Platform Software Fees: Vercura Systems earns subscription fees, optional payment gateway processing fees, and utility fees for premium automated tools (such as AI catalog copilots, branded PDF flyers, and custom themes). Platform software fees are fully earned upon service provision.

2.4. Store Credits: Customization credits (used for store themes, flyers, banner rendering, or directory sponsorships) are virtual digital utility tokens. Credits are strictly non-refundable, non-transferable between unrelated entities, and cannot be redeemed for fiat currency.

2.5. Right of Offset: Vercura Systems reserves the right to deduct applicable payment gateway charges or outstanding platform fees directly from transaction proceeds before disbursing net settlements to a Merchant's account.

3. Artisan Craftsmanship Workflow & Custom Commissions

3.1. Bespoke & Made-to-Order Workflow: For items crafted upon request (tailoring, custom furniture, leather goods, handmade jewelry), the Artisan and Buyer agree to the design brief, sizing specifications, and turnaround schedule before crafting begins.

3.2. Milestone Progress Updates: Artisans are encouraged to share workshop updates and progress checkpoints via WhatsApp or the Kataloq order portal to maintain buyer transparency.

3.3. Handcrafted Variations: Buyers acknowledge that bespoke handcrafted goods inherently possess slight, authentic variations in natural leather grain, hand-loomed textile dyes, or bespoke woodwork. Such artisanal characteristics documented in the product listing or custom brief do not constitute product defects.

3.4. Completion & Inspection Window: Upon verified carrier delivery or customer pickup, the Buyer has a 48-hour inspection window to inspect the finished goods. Once the inspection window passes without dispute or upon buyer acceptance, the order is deemed complete, triggering instant withdrawal to the artisan's nominated bank account.

4. Merchant Obligations, Verification & Indemnification

4.1. Identity Verification (NIN / Business Identity): To maintain buyer confidence and protect artisan businesses from impersonation, Merchants agree to complete identity verification (including National Identity Number verification where applicable) prior to receiving automated settlements.

4.2. Item Authenticity & Legality: Merchants warrant that all listed items are authentic, accurately represented, compliant with Nigerian consumer protection laws, and free from intellectual property infringement.

4.3. Prohibited Goods: Merchants shall not list narcotics, illegal weapons, counterfeit luxury goods, stolen property, or regulated financial instruments.

4.4. Full Indemnification: Merchants agree to defend, indemnify, and hold harmless Vercura Systems, its directors, officers, employees, and agents from and against any claims, losses, liabilities, fines, penalties, damages, and expenses (including legal fees) arising out of or related to products sold through their storefront, delivery delays, or payment chargebacks.

5. Limitation of Liability

5.1. No Consequential Damages: To the maximum extent permitted by applicable law, Vercura Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business opportunities, or data.

5.2. Aggregate Liability Cap: In all circumstances, our total aggregate liability arising out of or relating to any order or claim shall not exceed the total Platform Fee received by Vercura Systems on that specific order, or NGN 10,000, whichever is lower.

6. Governing Law and Dispute Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising under these Terms shall be resolved by binding arbitration under the Arbitration and Mediation Act in Lagos, Nigeria.
